1. Acceptance of Terms

By accessing our website or engaging Loopra Studio for design, development, or consulting services, you agree to comply with and be bound by these Terms of Service.

If you do not agree to these terms, please do not use our website or services. We reserve the right to update or modify these terms at any time without prior notice.

2. Scope of Services

Loopra Studio provides custom software engineering, UI/UX design, and digital strategy services. The specific scope, deliverables, timelines, and pricing for your project will be outlined in a separate, mutually agreed-upon Project Proposal or Statement of Work (SOW).

Any requests outside the scope of the original SOW will be subject to additional evaluation and may incur separate charges.

3. Client Responsibilities

To ensure the successful and timely delivery of your project, you agree to provide all necessary assets, branding materials, access credentials, and feedback in a timely manner.

Delays in client feedback or failure to provide required assets may result in project timeline extensions. Loopra Studio is not liable for missed deadlines caused by client delays.

4. Intellectual Property & Ownership

Upon final and full payment for the project, the client will be granted ownership of the final deliverables, including custom code, design assets, and compiled software, as specified in the SOW.

Loopra Studio retains the right to use the completed project, including wireframes, designs, and public-facing code, in our portfolio, case studies, and marketing materials unless a strict Non-Disclosure Agreement (NDA) is signed prior to the project's commencement.

Loopra Studio retains ownership of any pre-existing proprietary libraries, frameworks, or open-source tools utilized during the development process.

5. Payment & Invoicing

Payment schedules will be defined in the Project Proposal. Typically, we require an initial deposit before any architecture or design work begins, with subsequent milestone payments.

Invoices are strictly due within the timeframe specified on the invoice. Loopra Studio reserves the right to pause design or development work if milestone payments are significantly delayed.

6. Limitation of Liability

Loopra Studio builds software using modern, secure, and industry-standard practices. However, we do not warrant that the software will be entirely error-free or uninterrupted post-launch, beyond the scope of our agreed-upon 90-Day Post-Launch Support phase.

In no event shall Loopra Studio, its directors, or employees be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of our services or delivered software.

7. Project Termination

Either party may terminate the project engagement with written notice if the other party breaches these terms and fails to cure the breach within a reasonable timeframe.

In the event of cancellation by the client before project completion, Loopra Studio retains the right to invoice for all work completed and hours logged up to the date of cancellation.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Madhya Pradesh, India, without regard to its conflict of law provisions.
